Terms of Use

These Terms of Use ("Terms") are a binding agreement between you ("you", "User") and LeaderNova and govern your access to and use of this website, its content, and all tools and services made available through it (together, the "Site"). By accessing, browsing, or otherwise using the Site — including by submitting a URL to the free scan — you acknowledge that you have read, understood, and accept these Terms in full. If you do not agree, you must not access or use the Site.

You confirm that you have the legal capacity to enter into these Terms and, if you act on behalf of an organization, that you are authorized to bind it.

1. Who we are — business users only

The Site is operated by LeaderNova s.r.l.s. unipersonale ("LeaderNova", "we", "us", "our"), a company incorporated under the laws of Italy, with registered office in Bari, Italy, VAT number IT09028790724. Contact: hello@leadernova.com.

The Site and the scan are a business-to-business offering, intended and made available exclusively for businesses, professionals, developers, and organizations acting in the course of their trade, business, craft, or profession. They are not directed to, or intended for use by, consumers within the meaning of Article 3 of Italian Legislative Decree No. 206/2005 (the Consumer Code) or Directive 2011/83/EU. By using the Site you represent and warrant that you are acting for purposes relating to your trade, business, or profession and not as a consumer, and you acknowledge that the consumer-protection regime does not apply to your use of the Site.

2. Acceptable use

You may use the Site only for lawful purposes and strictly in accordance with these Terms. You agree that you will NOT, and will not attempt to, and will not permit any third party to: access, tamper with, probe, scan, penetration-test, or test the vulnerability of the Site, its infrastructure, servers, or any connected system or network, or breach, disable, or circumvent any authentication, security, or access-control measure; interfere with, disrupt, overload, or impair the operation of the Site (including by denial-of-service or similar means); use any robot, spider, scraper, or other automated means to access, copy, harvest, or monitor the Site or its content; introduce any virus, malware, or harmful code; use the Site to transmit or facilitate unlawful, defamatory, infringing, deceptive, or malicious content, or to send unsolicited or unauthorized communications; reverse-engineer, decompile, or attempt to derive the source code of any part of the Site except to the extent this restriction is prohibited by mandatory law; resell, sublicense, or commercially exploit the Site or its content without our prior written consent; or use the Site in any manner that violates any applicable law or regulation or infringes the rights of any third party.

We may investigate any suspected breach and cooperate with law-enforcement authorities and third parties in doing so.

3. The free scan — authorization, no advice, your responsibility

The Site offers a free "Vibe Coding Risk Score" security scan and related informational content. The scan and all content are provided for general informational purposes only. They do not constitute professional, legal, security, or engineering advice, create no advisory or fiduciary relationship, and must not be relied upon as such. A result — whether favorable or unfavorable — is not a representation, warranty, or guarantee that any system is secure, insecure, compliant, or free of vulnerabilities, and the absence of a finding does not mean a system is safe. You remain solely responsible for assessing and securing your own systems and for any decision you make based on the Site.

You may submit a URL to the scan ONLY if you own the target or hold the target owner's express authorization to have a non-intrusive security check performed on it. This authorization is a condition of your use of the scan, and by submitting each URL you represent and warrant that you hold it. Your use of the scan is additionally governed by our Scan Policy at /scan-policy, which forms part of these Terms and which you accept when you use the scan; where the Scan Policy addresses the scan more specifically, it prevails. You are solely and exclusively responsible for every URL you submit and for the lawfulness of each submission, including under the Italian Criminal Code (in particular artt. 615-ter, 615-quater and 635-bis et seq.), the U.S. Computer Fraud and Abuse Act, the U.K. Computer Misuse Act, and any other applicable law.

4. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless LeaderNova and its members, directors, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Site and the scan, and any URL you submit or scan you cause to be performed, including any allegation that a scan was unauthorized or unlawful; (b) any breach by you of these Terms or the Scan Policy; or (c) any third-party claim related to your use of the Site, the scan, or the results provided. We may, at our option and expense, assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us. This obligation survives termination of these Terms.

5. Intellectual property

The Site and all of its content — including text, graphics, layout, logos, the LeaderNova name and brand, and underlying software — are owned by or licensed to LeaderNova and are protected by applicable intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Site for your own internal business purposes. All rights not expressly granted are reserved. You may not copy, reproduce, republish, distribute, modify, frame, or create derivative works from any part of the Site without our prior written permission, except to the extent such use is expressly permitted by mandatory law.

6. Third-party sites and services

The Site may contain links to, or rely on, third-party websites, resources, or services (including our privacy-management, analytics, scheduling, and email providers) that we do not control. We provide these for convenience only and make no representations about, and accept no responsibility for, their content, availability, security, or practices. Your use of any third-party site or service is at your own risk and governed by that third party's own terms and policies.

7. Availability and changes to the Site

The Site is provided on an "as available" basis. We may modify, suspend, restrict, or discontinue the Site or any feature, in whole or in part, at any time and without notice or liability. We may also suspend or terminate your access to the Site at our sole discretion, in particular where we reasonably believe you have breached these Terms.

8. Disclaimer of warranties

To the fullest extent permitted by applicable law, the Site and all content, tools, and results are provided "as is" and "as available", without warranties or representations of any kind, whether express, implied, or statutory, including any implied warranties or conditions of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, or non-infringement. Without limitation, we do not warrant that the Site will meet your requirements, be available, uninterrupted, timely, secure, or error-free, that defects will be corrected, that it is free of harmful components, or that any information on it is accurate, complete, current, or reliable. No advice or information obtained from the Site creates any warranty not expressly stated in these Terms.

9. Limitation of liability

Except for liability that cannot be excluded or limited under mandatory Italian law (including liability for wilful misconduct or gross negligence under Article 1229 of the Italian Civil Code), and to the fullest extent permitted by applicable law, LeaderNova and the persons listed in Section 4 shall not be liable for any indirect or consequential damages, or for any loss of profits, revenue, data, business, or use, arising out of or in connection with these Terms or your access to, use of, or inability to use the Site, the scan, its results, or any linked third party, whether based in contract, tort, or any other theory.

Subject to the same mandatory-law exception, LeaderNova's total aggregate liability under these Terms, whether in contract, tort, or otherwise, shall not exceed one hundred euros (EUR 100).

10. Privacy and cookies

Your use of the Site is also subject to our Privacy Policy at /privacy, which explains how we process personal data in accordance with Regulation (EU) 2016/679 (GDPR) and applicable Italian law, and describes our use of cookies and similar technologies.

11. Changes to these Terms

We may update these Terms from time to time. Changes are published on this page with a new version number and effective date and take effect when posted. Your continued use of the Site after the effective date constitutes acceptance of the updated Terms. If you do not agree to a change, you must stop using the Site.

12. General

These Terms, together with the Scan Policy and the Privacy Policy, constitute the entire agreement between you and LeaderNova regarding the Site and supersede any prior understanding on that subject. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and the invalid provision shall be replaced by a valid one that most closely reflects its intent. Our failure to enforce any provision is not a waiver of it. You may not assign or transfer these Terms without our prior written consent; we may assign them, including in connection with a merger, acquisition, or transfer of assets. Headings are for convenience only.

13. Governing law and jurisdiction

These Terms and any dispute or claim (including non-contractual disputes) arising out of or in connection with them or the Site are governed by and construed in accordance with the laws of Italy, without regard to conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods. The Courts of Bari, Italy shall have exclusive jurisdiction over any such dispute, and you irrevocably submit to that jurisdiction and waive any objection based on venue or forum non conveniens.

14. Specific approval of clauses (Articles 1341 and 1342 of the Italian Civil Code)

By accessing and using the Site, and pursuant to Articles 1341 and 1342 of the Italian Civil Code, you expressly and specifically approve the following clauses: Section 2 (Acceptable use and prohibited conduct), Section 3 (informational-only nature, no advice, your authorization and sole responsibility for submitted URLs), Section 4 (Indemnification), Section 7 (right to modify, suspend, discontinue the Site and terminate access at our discretion), Section 8 (Disclaimer of warranties), Section 9 (Limitation and cap of liability), Section 11 (unilateral changes to these Terms), Section 12 (entire agreement, severability, no waiver, assignment) and Section 13 (governing law and exclusive jurisdiction of the Courts of Bari).
